WEB SITE TERMS AND CONDITIONS OF USE

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THIS AGREEMENT GOVERNS YOUR USE OF THE SAIC WEB SITE. BY USING THE SAIC WEB SITE TO BROWSE OR ORDER DATA, YOU AGREE TO THESE TERMS AND CONDITIONS. IF YOU DO NOT OR ARE UNABLE TO AGREE TO ALL OF THESE TERMS AND CONDITIONS, YOU MAY NOT USE THE SAIC WEB SITE.

Purpose of Web Site
This agreement, when referring to "Web Site" or the "SAIC Web Site" means the LandsatImagePlace.com web site owned by SAIC and made available to You for the purpose of browsing and ordering Landsat value added products. These are products where the original content images are provided by the United States Government via the Landsat satellites, and image processing and enhancements are performed by SAIC (Images").

User Accounts
You may obtain a user account on the SAIC Web Site either by directly establishing an account or by placing an order for image data. By obtaining a user account and accepting these terms, You represent and warrant that you are over the age of 18 and are lawfully able to agree to the terms of this Agreement. You further represent and warrant that your registration information on the SAIC Web Site on which the images are being ordered is accurate and true, and, if You are representing an organization, that You have the authority to bind that organization to these terms and conditions.

SAIC reserves the right to refuse to establish a user account or grant access to the SAIC Web Site for any reason. If an account is established, You agree to access the SAIC Web Site only by using the user name and password supplied to You at the time of registration or as later changed by You. Only You are authorized to use your user name and password. Allowing others to access the SAIC Web Site using your user name and password are grounds for immediate suspension of the user account.

Site Ownership
The SAIC Web Site is owned by SAIC. All elements of the SAIC Web Site are the intellectual property of SAIC and are protected by copyright, trade dress, trademark and other laws relating to the protection of intellectual property. All Images displayed the SAIC Web Site, or made available for download through Your user account, are owned by SAIC (or its licensors).

Use of the Web Site
The SAIC Web Site is intended solely for customers of SAIC. You may not use the SAIC Web Site for any purpose not related to your business with SAIC. Specifically prohibited are the following activities:

  1. downloading, copying, or re-transmitting the SAIC Web Site or any potion thereof;
  2. deep linking to the SAIC Web Site;
  3. using any data mining software, robots, spiders or similar data gathering or extraction methods to "crawl", "scrape", search, monitor, or receive content from the SAIC Web Site;
  4. manipulating or otherwise displaying the SAIC Web Site using framing or similar navigational technology;
  5. using the SAIC Web Site other than for its intended purpose. Such unauthorized use may also violate applicable laws including without limitation copyright and trademark laws; or
  6. bypassing measures employed to prevent or limit access to the Site or Content by hacking or other means.

Notwithstanding any of these Site Terms, SAIC reserves the right, without notice and in its sole discretion, to terminate Your account and/or to block Your use of the SAIC Web Site.

You represent and warrant that you will comply with all applicable laws and regulations, including, without limitation, those relating to the Internet, data, e-mail, privacy, and the transmission of technical data exported from the United States or the country in which you reside.

Copyright Infringement Policy
In accordance with the Digital Millennium Copyright Act ("DMCA") and other applicable laws, SAIC reserves the right to terminating, at SAIC’s sole discretion, accounts of users who infringe the intellectual property rights of SAIC or violate the terms of the SAIC product license for Image download.

Trademarks
The SAIC logo and the phrases "SAIC" and "Science Applications International Corporation" and any other product or service name or slogan contained on the SAIC Web Site are trademarks of SAIC and may not be copied, imitated or used, in whole or in part, in any way or for any reason. In particular, SAIC trademarks may not be used to link to the SAIC Web Site. In addition, the look and feel of the SAIC Web Site, including all page headers, custom graphics, button icons and scripts, is the service mark, trademark and/or trade dress of SAIC and may not be copied, imitated or used in any way or for any reason.

All other trademarks, registered trademarks, product names and company names or logos mentioned in the SAIC Web Site are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by us.

Indemnification
You agree to defend, indemnify and hold harmless SAIC, its directors, subsidiaries, affiliates, licensors, employees, agents and independent contractors against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or related to any use of the SAIC Web Site by You.

Disclaimer
THE SAIC WEB SITE IS PROVIDED "AS IS" AND SAIC DISCLAIMS ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. SAIC WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THIS SITE BY YOU, OR THE UNAVAILABILITY OF THE SAIC WEB SITE, INCLUDING, BUT NOT LIMITED TO LOST PROFITS, AND DIRECT, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES. THE FUNCTIONALITY OF THE SAIC WEB SITE IS NOT WARRANTED TO BE UNINTERRUPTED OR WITHOUT ERROR. SAIC MAKES NO WARRANTY THAT THE SAIC WEB SITE OR ANY IMAGES DOWNLOADED FROM THE SITE OR OTHERWISE PROVIDED BY SAIC ARE FREE FROM INFECTION BY VIRUSES, INFECTIONS OR CODE THAT MAY CONTAIN CONTAMINATING OR DESTRUCTIVE PROPERTIES.

Limitation of Liability
IN NO EVENT SHALL SAIC, ITS DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THE SAIC WEB SITE, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE BY USER ON ANY INFORMATION OBTAINED FROM IMAGES DOWNLOAD FROM OR OTHERWISE PROVIDED BY SAIC.

Applicable Law and Venue
Any dispute regarding this agreement shall be governed by the laws of the State of California, and You agree to accept the jurisdiction of the state and federal courts located in California. This agreement shall not be governed by the United Nations Convention on the International Sale of Goods, the application of which is expressly disclaimed. In any dispute between SAIC and You in which SAIC prevails, You shall be responsible for SAIC’s reasonably attorney’s fees, legal expert fees and court costs.

Changes to Site Terms
SAIC reserves the right to change any of the terms and conditions contained in this Agreement from time to time in its sole discretion. Any changes will be effective immediately upon posting of the new terms on the SAIC Web Site. Your continued use of the SAIC Web Site following the posting of changes will constitute your acceptance of such changes. We encourage you to review the Site Terms whenever you visit the SAIC Web Site
